Governance Needs to Happen Inside the Matter, Not Outside It
Post by LexisNexis Enterprise Solutions |
As AI becomes more embedded in legal work, governance is moving higher up the agenda for law firms. Many firms are already thinking carefully about policies, usage rules, training, security and ethical considerations. But policy alone is not enough. For governance to work in practice, it needs to be reflected in the way legal work is actually done. That means governance needs to happen inside the matter, not outside it.
Policies don’t change behaviour on their own
A well-written policy can set expectations, but it does not automatically shape day-to-day behaviour. Lawyers and legal teams work under pressure. They manage deadlines, client expectations, documents, correspondence, risk issues and internal reporting demands. If governance relies entirely on people remembering the right policy at the right moment, gaps are a certainty.
AI governance, for example, cannot depend only on a document that tells people what they should or should not do. Firms need practical ways to support responsible behaviour within the workflow.
Governance needs practical touchpoints
Matter management provides natural governance moments.
At matter opening, firms can capture required information, complete risk checks and record the basis on which work is accepted. During the matter, teams can track tasks, approvals, documents, deadlines and review points. At closure, they can record outcomes, retain the right information and support future reporting.
These practical touchpoints make governance part of the work, rather than a separate administrative exercise.
For AI-assisted work, the same principle applies. If a tool is used to support drafting, research, summarisation or analysis, firms need clarity on how that work is reviewed, checked and approved. The important question is not only whether the firm has an AI policy, but whether its matter processes support the right level of accountability.
Consistency without removing judgement
Good governance does not mean removing legal judgement. It means making it easier for lawyers to exercise judgement within a clear, consistent framework.
That distinction is noteworthy. Lawyers do not want systems that tell them how to practise law. They do need systems and processes that help them manage risk, meet deadlines, capture key information and provide evidence that important steps have been completed.
The best matter management approach supports consistency while leaving room for professional expertise. It can prompt users where checks are required, make key information visible, standardise routine steps and create a clearer record of what happened.
This is especially valuable across larger teams, hybrid working environments and complex matters where several people may contribute to the same file.
Governance also supports client confidence
Clients increasingly expect transparency, efficiency and control. They want confidence that their work is being handled consistently, securely and professionally.
Strong matter governance helps firms demonstrate that confidence. It supports clearer reporting, better visibility and more reliable matter records. It can also help firms respond more effectively to questions about process, risk and accountability.
As AI adoption grows, this confidence will become even more important. Clients may want to know not only whether AI is being used, but how its use is controlled, reviewed and governed. Firms that can answer those questions clearly will be in a stronger position.
Build governance into the workflow
The practical test is simple:
- Does your matter management process help people do the right thing at the right time?
- Are key risk checks captured consistently?
- Are approvals visible?
- Are documents and communications connected to the matter?
- Are deadlines and tasks easy to track?
- Can teams see who has done what?
- Can the firm report on matter progress, risk and outcomes with confidence?
If the answers are unclear, governance may still be sitting too far outside the work itself.
